SAN FRANCISCO, February 24, 2021 – Autodesk, Inc. (NASDAQ: ADSK) has officially announced that it has entered into a definitive agreement to acquire Innovyze, Inc., a renowned provider of water infrastructure software based in Portland, Oregon, for a total consideration of $1 billion, net of cash, subject to adjustments for working capital and taxes at closing. This acquisition strengthens Autodesk's position as a technological leader in offering comprehensive solutions spanning the entire lifecycle of water infrastructure, from initial design to ongoing operations. It also bolsters Autodesk's digital twin strategy and charts a clearer path toward a more sustainable and digitized water sector.
In a recent update, Autodesk confirmed the successful completion of the acquisition. You can find the latest news updates [here](#).
Innovyze specializes in advanced solutions such as modeling, simulation, and predictive analytics, which empower water utilities to design more cost-efficient and environmentally friendly distribution networks, wastewater treatment facilities, and flood protection systems. Additionally, Innovyze's tools centralize asset visibility, optimizing both capital and operational expenditures. By integrating Innovyze’s suite of products with Autodesk’s powerful design and analysis platforms, including Civil 3D, InfraWorks, and the Construction Cloud, civil engineers, water utilities, and experts now have enhanced capabilities to address challenges and refine planning processes.
Since its inception 35 years ago, Innovyze has established itself as a trusted name in the water industry, serving approximately 3,000 clients globally, including major utility providers in some of the most populous cities across five continents, as well as top design firms and leading environmental and engineering consultancies.
The global water crisis remains severe, with over two billion individuals lacking access to safe drinking water at home. By 2025, more than two-thirds of the world's population will likely face water stress.
"Our vision of a more sustainable planet is within reach, but achieving it demands responsible stewardship of our water resources," remarked Andrew Anagnost, President and CEO of Autodesk. "Addressing global water infrastructure needs by 2030 is projected to require $1.9 trillion. By transforming how systems are designed, constructed, and operated, we're poised to meet this challenge head-on and build the better world we envision."
Amy Bunszel, Executive Vice President of AEC Design Solutions at Autodesk, added, "Every year, nearly nine trillion gallons of water are lost due to leaks and pipe failures. To effectively manage these issues, we must first gain visibility into our assets." Innovyze’s portfolio of operational analytics, distribution modeling, and asset management solutions provides the foresight needed to preemptively address potential problems before they escalate.
Colby Manwaring, CEO of Innovyze, noted, "For three decades, Innovyze has quietly played a crucial role in the daily lives of millions worldwide—ensuring access to clean water, managing sewage systems, and preventing floods. Similarly, Autodesk's design expertise underpins countless structures globally. Joining forces makes perfect strategic sense, and we’re excited to embark on this next chapter together."

Please note that while the transaction remains subject to standard closing conditions, it is anticipated to conclude during Autodesk’s first fiscal quarter of 2022, concluding on April 30, 2021.
